cognipeer Pulse Terms of Use.

1. Relationship with the General Terms

These Pulse Terms supplement the General Terms of Use that apply across the cognipeer suite. The General Terms cover shared matters including eligibility, account security, Customer Content and Output ownership, acceptable use, fees, intellectual property, suspension, disclaimers, liability, governing law and dispute resolution.

If these Pulse Terms conflict with the General Terms, these Pulse Terms control only in relation to Pulse. If you or your organisation has a signed agreement with cognipeer, that agreement controls to the extent of any conflict.

2. About Pulse

Pulse is a persistent AI workspace that can bring conversations, files, memory, background tasks, approvals and connected work services into one continuous timeline.

Depending on your plan, workspace and configuration, Pulse may allow you to communicate with an AI assistant, organise files, create reminders, run scheduled or event-driven tasks, connect third-party services, review external actions, use meeting or voice features and authorise operations on connected devices.

Features available to you may depend on your plan, organisation policy, connected services, deployment environment and administrator settings.

3. Workspaces and Administrators

Pulse may organise users, content, integrations and security settings through workspaces and organisations.

Workspace or organisation owners and administrators may be able to invite or remove users, assign roles, configure integrations, connect devices, set approval policies, manage workspace content and restrict or terminate access.

If you use Pulse through an organisation, that organisation may control your managed account and organisation-controlled content. You and your organisation are responsible for obtaining any authorisations and providing any notices required for personnel using Pulse.

4. Connected Third-Party Services

You may choose to connect supported third-party services, which may include Google, Microsoft 365, GitHub, Notion, Trello, email systems, storage services, enterprise applications, APIs or Model Context Protocol services.

By connecting a third-party service, you confirm that:

• you are authorised to connect the account, workspace, system or data;
• you are authorised to grant the requested permissions;
• Pulse may access information and perform actions within those permissions at your direction; and
• your use complies with the third party's terms, policies and applicable law.

Third-party services are independently operated. cognipeer does not control or guarantee their availability, accuracy, security, compatibility, functionality or continued support.

A provider may change its APIs, permissions, limits, prices, terms or policies. cognipeer may modify, restrict or discontinue an integration as a result.

5. Google Services

When you choose to connect a Google Account, Pulse may provide user-facing functionality involving Google Calendar, Gmail and Google Drive.

Google Calendar

Depending on the permissions granted, Pulse may list calendars and read, create, update or delete calendar events at your request. Pulse may also add Google Meet conference information to an event where supported.

Gmail

Depending on the permissions granted, Pulse may search and read email, list or modify labels, import attachments into Pulse Files and compose, send, reply to or forward messages at your request.

Google Drive

Depending on the permissions granted, Pulse may list, search, read, export, import, upload, create folders, rename, move, update, trash, permanently delete or share supported files and folders at your request. Certain operations may not be available for every Google-native file type.

6. Tasks, Tools, Approvals and Automation

Pulse may invoke tools, execute background work, schedule or delay tasks, respond to webhooks, run recurring work and perform actions in connected systems.

Depending on workspace or organisation policy, an integration tool may be configured to:

• require review before an action is completed;
• operate automatically under previously authorised instructions; or
• remain disabled.

Approval is not a universal guarantee or a requirement for every tool or action. Read-only actions may operate without review, and an administrator may permit certain external actions to run automatically.

You are responsible for:

• the prompts, triggers, schedules and instructions you configure;
• the tools, permissions and connected accounts you authorise;
• selecting approval policies appropriate to the risk;
• monitoring automated and recurring work; and
• promptly disabling incorrect, unsafe or unauthorised behaviour.

Approval controls can reduce risk but cannot guarantee that every undesired action will be detected or prevented.

7. External Actions and Disconnection

Pulse may perform authorised actions that create, send, modify, move, share, archive, trash or delete information in a connected service. Some external actions may be difficult or impossible to reverse.

You must not instruct Pulse to perform an action that you are not legally or contractually authorised to perform.

Disconnecting an integration stops future access through the connection after its locally stored credentials are removed, but it does not necessarily:

• undo actions already completed in the third-party service;
• delete email, calendar events, files or permissions already changed there;
• delete files or attachments previously imported into Pulse;
• delete messages, task results, summaries or memory saved in Pulse; or
• remove records that must be retained for security, audit or legal reasons.

You may also need to revoke authorisation through the third-party provider's own account settings. Google access can be separately revoked from the Google Account permissions page.

8. Files, Memory and Shared Resources

Pulse may allow you to upload, import, generate, organise, store and share files, folders, task results, generated artefacts and other workspace resources.

Pulse may also maintain memory, summaries or contextual information to support continuity across interactions and tasks.

You are responsible for:

• ensuring you are authorised to process and share the information;
• reviewing recipients, links and permissions before sharing;
• avoiding the unnecessary submission of secrets or sensitive information;
• correcting or deleting stored information where appropriate; and
• maintaining independent copies where continued availability is important.

A recipient may retain a copy of information after access is removed, and removing a shared link does not necessarily delete copies already obtained by another person.

9. Voice and Meeting Features

Where enabled, Pulse voice or meeting functionality may process audio, participant names, presence information, meeting links, recordings, transcripts, instructions and summaries.

You are responsible for:

• providing clear notice to participants;
• obtaining any legally required consent before recording or transcription;
• complying with platform, workplace, communications and privacy rules;
• limiting processing and retention to a lawful purpose; and
• respecting participant requests and applicable restrictions.

You must not use Pulse meeting or voice features for covert surveillance, unlawful interception or unauthorised monitoring.

10. Device Agents and Local Execution

Where a device agent is enabled, Pulse may perform authorised operations on a connected device. Depending on the capabilities you enable, this may involve access to files, applications, browser sessions, terminal commands or other local resources.

You are responsible for:

• connecting only devices that you own or are authorised to control;
• limiting enabled capabilities, folders, applications and credentials;
• reviewing device actions and outputs;
• maintaining appropriate backups and security controls; and
• promptly revoking a lost, reassigned, compromised or unauthorised device.

Local execution can change or delete data and may interact with external systems. Use least-privilege permissions and appropriate human review.

11. Customer Content and AI Output

The Customer Content and Output provisions in the General Terms apply to Pulse. You grant cognipeer and its authorised service providers only the limited rights reasonably necessary to provide, secure, support and operate Pulse and carry out your authorised requests.

AI-generated messages, summaries, plans, classifications, tool decisions, code and other Output may be inaccurate, incomplete, outdated or unsuitable. You are responsible for reviewing and validating Output before relying on it or allowing it to result in consequential action.

12. Pulse-Specific Acceptable Use

In addition to the General Terms, you must not use Pulse to:

• connect an account, workspace, device or system without authorisation;
• send unlawful spam, phishing messages, impersonation or deceptive communications;
• access, alter, share or delete another person's email, calendar data, files or device resources without authority;
• configure hidden or unlawful surveillance, interception, monitoring or recording;
• use automation to evade provider limits, security controls, approval policies or applicable law;
• run device commands, file operations or external actions for malicious or destructive purposes;
• submit malware or use connected tools to facilitate attacks; or
• rely on Pulse as the sole basis for legally significant or high-impact decisions without appropriate safeguards and human oversight.

13. Plans and Usage Limits

Pulse features may be limited by plan, users, workspaces, storage, messages, files, tasks, schedules, integrations, devices, models, tokens, credits or other usage measures.

Applicable prices, limits, billing periods and renewal conditions are shown in the relevant order form, checkout flow or signed agreement.

General payment, tax, refund and cancellation provisions are set out in the General Terms and any applicable customer agreement.

14. Beta and Preview Features

Pulse may include alpha, beta, preview, experimental, early-access or evaluation features. These features may be incomplete, change without notice, contain errors or be discontinued.

Unless expressly authorised in writing, do not rely on beta or experimental features for critical, high-risk or regulated workloads.

15. Restriction and Suspension

In addition to the suspension rights in the General Terms, cognipeer may restrict or disable an integration, task, tool, schedule, webhook, device, model, approval configuration or other Pulse resource where reasonably necessary because it creates a security, legal, provider-policy, privacy or operational risk.

Where reasonably possible and legally permitted, we will provide notice and an opportunity to address the issue. Urgent security, abuse, fraud or legal risks may require immediate action.

16. Privacy and Data Protection

The cognipeer Pulse Privacy Policy explains how personal information, connected service data, files, memory, tasks, integrations, meeting information and device information are handled.

A Data Processing Agreement or signed customer agreement may also apply. Users and customer organisations are responsible for using Pulse in compliance with applicable privacy, communications, workplace, recording, data-protection and other laws.
