General Terms of Use
These Terms of Use (the “Terms”) govern your access to and use of the cognipeer suite, including its products, websites, applications, APIs and related services.
The Services are provided by BİLSATEK YAZILIM VE TEKNOLOJİ ANONİM ŞİRKETİ, operating under the cognipeer brand (“cognipeer”, “we”, “us” or “our”), registered at Çifte Havuzlar Mah. Eski Londra Asfaltı Cad., Kuluçka Mrk. A1 Blok No: 151/1C, İç Kapı No: B35, Esenler/İstanbul, Türkiye.
By creating an account, accepting an invitation, accessing or using a cognipeer Service, you agree to these Terms and any Product Terms that apply to the suite product you use. If you use a Service on behalf of a business, employer or other organisation, you represent that you are authorised to do so.
If you have entered into a separate written agreement with cognipeer, that agreement will prevail to the extent of any conflict with these Terms.
1. The cognipeer Suite and Products Covered
These Terms apply across the cognipeer suite and to its products and services, including:
- cognipeer Studio: a platform for creating, configuring, deploying and managing AI agents, applications, workflows, prompts, tools, knowledge sources and conversational experiences.
- cognipeer Pulse: an AI workspace that brings conversations, files, memory, background tasks, approvals and connected work services into a persistent timeline.
- cognipeer Console: an enterprise AI operations, governance and observability platform for managing models, providers, AI workloads, gateways, tracing, guardrails and related infrastructure.
Additional products may be added to the cognipeer suite in the future and may be subject to additional Product Terms.
2. Eligibility
You must be at least 18 years old and legally capable of entering into these Terms.
cognipeer is designed primarily for businesses and organisations, but certain Services may also be used by individual users who create and manage their own accounts.
If you use a Service through an organisation, your organisation may manage your account, workspace, permissions, content and access in accordance with its agreement with cognipeer and its internal policies.
3. Accounts and Security
You must provide accurate account information and keep it reasonably up to date.
You are responsible for protecting passwords, authentication tokens, API credentials, integration credentials and other authentication information associated with your account.
You must not:
- share personal credentials with unauthorised persons;
- attempt to access another user's account without authorisation;
- bypass authentication, permissions or security controls; or
- use compromised, unlawfully obtained or unauthorised credentials.
You should promptly notify us at hello@cognipeer.com if you believe your account or credentials have been compromised.
We may require additional verification, revoke sessions or credentials, or temporarily restrict access where reasonably necessary to protect users, customers or the Service.
4. Organisations, Workspaces and Administrators
Some products within the cognipeer suite operate through organisations, tenants or workspaces.
Administrators may be able to:
- invite or remove users;
- assign roles and permissions;
- configure integrations, providers and AI models;
- manage workspace resources;
- establish security and approval policies;
- access organisation-controlled content where permitted;
- manage licences and subscriptions; and
- restrict or terminate workspace access.
If you use cognipeer through an organisation, that organisation may control information and resources associated with your managed account.
You and your organisation are responsible for obtaining any authorisations, notices and permissions required for personnel who use the Service.
5. Right to Use the Services
Subject to these Terms, the applicable Product Terms, plan or licence restrictions, payment obligations and any written agreement with cognipeer, we grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to use the applicable Service for lawful purposes.
You may not resell, commercially sublicense, white-label or provide a cognipeer Service as a service bureau unless expressly permitted by cognipeer in writing or by functionality specifically designed for that purpose.
6. Customer Content
“Customer Content” includes content that you or your organisation submit, upload, connect, import, create or generate through the Service, including prompts, messages, documents, files, instructions, data, knowledge sources, agent configurations, workflows and other materials.
You or the relevant customer organisation retain all ownership rights in Customer Content. cognipeer does not claim ownership of it.
You grant cognipeer and its authorised service providers a limited, non-exclusive licence to host, copy, transmit, process, display, transform and otherwise handle Customer Content only as reasonably necessary to:
- provide and operate the Service;
- carry out your instructions and configured workflows;
- maintain security and reliability;
- provide support;
- prevent or investigate misuse or security incidents;
- comply with applicable law; and
- enforce applicable agreements.
You are responsible for ensuring that you have the rights, permissions, notices, consents and other legal authority required to provide Customer Content to the Service.
7. AI-Generated Output
cognipeer Services may use artificial intelligence models to generate text, summaries, documents, analyses, plans, classifications, code, images, structured information or other results (“Output”).
As between you and cognipeer, you retain ownership of Output generated for you, to the extent that ownership can legally exist. cognipeer does not claim ownership of your Output.
Subject to applicable law and third-party rights, you may use, reproduce, modify, publish, distribute and otherwise use your Output for lawful purposes.
AI systems are probabilistic. Output may therefore:
- be inaccurate or incomplete;
- contain errors;
- be outdated;
- contain biased or inappropriate information; or
- resemble Output generated for another user.
Output is not guaranteed to be unique, eligible for intellectual property protection or free from third-party claims. You are responsible for reviewing and verifying Output before relying on it, publishing it or using it for consequential decisions.
AI Output should not be treated as a substitute for qualified legal, medical, financial or other professional advice.
8. Third-Party Services and AI Providers
cognipeer Services may allow you to connect or use third-party services, including AI model providers, cloud platforms, productivity tools, storage providers, APIs, databases and enterprise applications.
You choose whether to connect supported third-party services unless the connection is established by your organisation.
By connecting a third-party service, you confirm that:
- you are authorised to connect the account or system;
- you are authorised to grant the requested permissions;
- cognipeer may access or transmit information as required to perform your instructions; and
- your use remains subject to the third party's applicable terms and policies.
Third-party services are independently operated and may change their APIs, functionality, pricing, limits, policies or availability. cognipeer does not control and cannot guarantee their continued availability or performance.
Where appropriate, cognipeer may modify, restrict, suspend or discontinue an integration because of security concerns, provider changes, legal requirements, compatibility issues or operational risks.
9. Automated Actions and Human Oversight
Certain products within the cognipeer suite can use tools, integrations, scheduled tasks, workflows or AI-generated decisions to initiate actions.
Depending on the product, workspace configuration and applicable security policy, an action may:
- require user review or approval;
- operate automatically under previously authorised instructions; or
- be disabled.
You are responsible for configuring permissions, approvals, automation rules and integrations in a manner appropriate to your use case. You must maintain appropriate human oversight for consequential or high-risk uses.
Actions completed in an external service may remain in that external service even after the cognipeer integration is disconnected.
10. Acceptable Use
You must not use cognipeer Services to:
- violate applicable law, regulation, sanctions or third-party rights;
- engage in fraud, phishing, identity theft, impersonation or deceptive conduct;
- distribute malware or malicious code;
- gain unauthorised access to accounts, systems, devices or data;
- conduct unlawful surveillance or monitoring;
- process or distribute unlawfully obtained information;
- bypass authentication, approval, safety, usage or security controls;
- disrupt, overload, probe or compromise the Service;
- reverse engineer the Service except where applicable law expressly permits it;
- use the Service to facilitate cyberattacks or other unlawful activity;
- infringe intellectual property, privacy or confidentiality rights;
- use AI as the sole basis for legally significant or similarly high-impact decisions where safeguards are required by law; or
- resell or sublicense the Service without written permission.
We may investigate suspected violations and take reasonable measures to protect users, customers, third parties and the Service.
11. Plans, Fees and Taxes
Some cognipeer functionality may be offered free of charge, subject to usage limits, as part of a paid subscription, through usage-based pricing or under an enterprise agreement.
Applicable prices, usage limits, credits, billing periods and renewal conditions will be presented through the applicable checkout flow, order form or customer agreement.
You are responsible for applicable charges and taxes. Unless otherwise required by applicable law or expressly stated in writing, payments and consumed usage credits are non-refundable.
12. Beta, Preview and Experimental Features
cognipeer may make alpha, beta, preview, experimental, early-access or evaluation features available from time to time.
These features may:
- be incomplete;
- contain errors;
- change materially;
- have different availability, performance or security characteristics; or
- be discontinued without becoming generally available.
Unless expressly agreed otherwise in writing, beta or experimental functionality should not be relied upon for critical, high-risk or regulated workloads.
13. Intellectual Property
Except for Customer Content and Output as described in these Terms, cognipeer and its licensors retain all rights, title and interest in the Service, including its software, technology, interfaces, designs, documentation, trademarks and related intellectual property.
No ownership rights in the cognipeer platform or underlying technology are transferred to you under these Terms.
If you voluntarily provide suggestions or feedback about the Service, you permit cognipeer to use that feedback to develop and improve its products without compensation or obligation to you.
14. Privacy and Data Protection
Our processing of personal information is described in the applicable cognipeer Privacy Policy and, where relevant, the product-specific Privacy Policy.
Depending on the relationship and use case, cognipeer may act as a data controller or as a processor/service provider acting on behalf of a customer organisation. A separate Data Processing Agreement or enterprise agreement may also apply.
You are responsible for ensuring that your use of cognipeer complies with applicable privacy, data protection, employment, communications and other relevant laws.
15. Suspension and Termination
You may stop using the Service at any time.
Subscription cancellation, content export and deletion may be governed by the applicable plan, Product Terms, Privacy Policy, order form or customer agreement.
We may suspend, restrict or terminate access where reasonably necessary because:
- you materially breach these Terms or applicable Product Terms;
- required payments remain overdue;
- your use presents a material security or operational risk;
- your use is unlawful, fraudulent or abusive;
- a third-party provider requires suspension of an integration or service;
- we are required to act by law, regulation or a competent authority; or
- continued provision of the relevant Service is no longer reasonably technically or commercially feasible.
Where reasonably possible and legally permitted, we will provide notice and an opportunity to remedy the issue before termination. We may act immediately where necessary to address urgent security, abuse, fraud or legal risks.
16. Service Changes and Availability
cognipeer may modify features, AI models, integrations, APIs, technical requirements, plans or usage limits over time.
Where required by applicable law or contract, we will provide reasonable notice of material adverse changes.
The Service may occasionally be unavailable because of maintenance, technical incidents, third-party service failures, security events or circumstances beyond our reasonable control.
No specific service-level commitment applies unless included in a written agreement.
17. Disclaimers
To the maximum extent permitted by applicable law, the Services and AI Output are provided “as is” and “as available”.
cognipeer does not guarantee that:
- the Service will always be available or error-free;
- AI Output will always be accurate, complete or unique;
- every security threat or error will be detected;
- third-party services will remain available; or
- the Service will be appropriate for every use case.
Nothing in these Terms excludes warranties, rights or remedies that cannot lawfully be excluded.
18. Limitation of Liability
To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for loss of profits, revenue, business, goodwill or data, arising from or related to the Service.
To the maximum extent permitted by law, each party's total aggregate liability arising from or relating to a cognipeer Service will not exceed the amounts paid or payable by the customer for the applicable Service during the twelve months preceding the event giving rise to the claim.
For users of a Service for which no fees were paid, the applicable liability limit is USD 100, subject to mandatory rights and liabilities that cannot legally be limited.
A signed customer agreement may establish different liability arrangements. Nothing in these Terms excludes or limits liability where doing so is prohibited by applicable law.
19. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless cognipeer, its affiliates, officers, employees and licensors from third-party claims, losses, liabilities and reasonable costs arising from:
- your Customer Content;
- your unlawful or unauthorised use of the Service;
- your material breach of these Terms;
- your connected accounts, systems or integrations where you lacked authority to connect or use them; or
- your infringement of third-party rights.
This provision does not require you to indemnify cognipeer for cognipeer's own unlawful conduct. Different indemnification provisions may apply under a signed customer agreement.
20. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to conflict-of-law principles that would require the application of another jurisdiction's law.
Subject to any mandatory rights or jurisdictional rules that cannot lawfully be excluded, Istanbul Courts and Enforcement Offices shall have jurisdiction over disputes arising from or relating to these Terms or the Service.
If you are a consumer located in Türkiye, the European Economic Area, the United Kingdom or another jurisdiction that provides mandatory consumer protections, nothing in these Terms removes any mandatory rights, protections or remedies available to you under applicable law.
Where a signed customer agreement contains different governing-law or dispute provisions, that agreement will apply to the extent stated in it.
21. Changes to These Terms
We may update these Terms to reflect changes to the cognipeer suite, its products, business practices or applicable law. When we make changes, we will update the “Last updated” date.
Where legally required or where a change materially affects your rights, we will provide additional notice. Material changes will apply prospectively unless applicable law requires otherwise.
22. General Terms
These Terms, the applicable Product Terms, Privacy Policies, order forms and any signed customer agreement form the agreement governing your use of cognipeer.
If any provision is found unenforceable, the remaining provisions will continue to apply and the affected provision will be modified only to the minimum extent necessary to make it enforceable.
Failure to enforce a provision is not a waiver.
You may not assign your rights under these Terms without our written consent.
cognipeer may assign these Terms as part of a merger, acquisition, corporate reorganisation or sale of all or substantially all of the relevant business or assets.
