Studio Product Terms
These cognipeer Studio Product Terms (the “Studio Terms”) govern your access to and use of cognipeer Studio, including its websites, applications, APIs, agent-building tools, portals, web chat and related services (collectively, “Studio”).
Studio is provided by BİLSATEK YAZILIM VE TEKNOLOJİ ANONİM ŞİRKETİ, operating under the cognipeer brand, registered at Çifte Havuzlar Mah. Eski Londra Asfaltı Cad., Kuluçka Mrk. A1 Blok No: 151/1C, İç Kapı No: B35, Esenler/İstanbul, Türkiye.
By accessing or using Studio, you agree to these Studio Terms and the cognipeer General Terms of Use. If you use Studio on behalf of an organisation, you represent that you are authorised to do so.
1. Relationship with the General Terms
These Studio Terms supplement the General Terms of Use that apply across the cognipeer suite. The General Terms cover shared matters including eligibility, account security, Customer Content and Output ownership, acceptable use, fees, intellectual property, suspension, disclaimers, liability, governing law and dispute resolution.
If these Studio Terms conflict with the General Terms, these Studio Terms control only in relation to Studio. If you or your organisation has a signed agreement with cognipeer, that agreement controls to the extent of any conflict.
2. About Studio
Studio is a platform for designing, configuring, testing, deploying and managing AI agents, applications, prompts, tools, workflows, knowledge sources, portals and conversational experiences.
Features available to you may depend on your plan, licence, workspace configuration, deployment model, enabled providers and administrator settings.
3. Workspaces, Roles and Administrators
Studio may organise access and resources through workspaces, roles, groups and administrator permissions. Workspace administrators may be able to invite or remove users, assign roles, manage agents and applications, configure providers and integrations, publish portals and manage access to workspace resources.
If you use Studio through an organisation, that organisation may control your managed account and associated workspace resources. You and your organisation are responsible for obtaining all authorisations and notices required for users operating within the workspace.
When your access ends, you may lose access to organisation-controlled content. Export required resources before termination where an export capability is available.
4. Agents, Applications, Prompts and Tools
You control the instructions, prompts, models, tools, actions, knowledge sources, permissions and other configurations assigned to the agents and applications you create through Studio.
You are responsible for:
- testing agents, applications and workflows before and after deployment;
- reviewing prompts, permissions, tool access and external actions;
- maintaining appropriate human oversight for consequential uses;
- monitoring published or automated experiences for incorrect, unsafe or unauthorised behaviour; and
- promptly restricting or disabling resources that do not operate as intended.
Custom tools, APIs and Model Context Protocol connections may process credentials, transmit Customer Content or change information in external systems. You must connect only systems you are authorised to use and apply least-privilege access wherever practical.
5. AI Models and Service Providers
Studio may route Customer Content to AI model, embedding, OCR, search, vector, storage, data-source or other providers selected or configured by you or your administrator.
By selecting or using a provider, you authorise the transfer and processing required to perform the requested operation. You are responsible for selecting providers appropriate for your data, jurisdiction, security requirements and intended use.
Third-party providers independently control their services, availability, retention practices, terms and security measures. cognipeer does not guarantee that a provider will remain available, compatible or unchanged.
6. Knowledge Sources, Embeddings and Files
Studio may ingest or process documents, websites, APIs, databases, files and other authorised sources. Depending on the configuration, Studio may extract or recognise text, divide content into sections, create numerical embeddings and store content or vectors in configured systems.
You confirm that you have the rights and authority required to access, retrieve, copy, transform, index, store and use every source you configure. You must respect access controls, contractual restrictions, privacy rights and intellectual property rights.
Do not upload malware, unlawfully obtained information, credentials you are not authorised to process or content that infringes third-party rights.
7. Portals, Web Chat and Public Sharing
Studio may allow customers to publish portals, embedded web chats, agents, applications and other user-facing experiences.
If you publish or operate an experience, you are responsible for:
- accurately identifying its operator and purpose;
- providing privacy notices, terms, consent mechanisms and age controls required by law;
- configuring authentication, visibility, permissions and rate limits appropriately;
- protecting confidential prompts, credentials, files and private information;
- moderating content and responding to end-user requests where appropriate; and
- providing a working contact channel for users.
Public or shared links may be accessed, copied or retained by others. Removing a link does not automatically delete copies independently kept by recipients.
8. Conversations and Memory
Studio may process conversations, messages, retrieved sources and memory to maintain context and support configured AI experiences. Where memory is enabled, Studio may derive, add, update, consolidate or delete memory facts from authorised content.
You are responsible for informing users where required, limiting memory to appropriate information and providing suitable correction or deletion controls. Do not configure Studio to infer or retain sensitive personal information without a lawful, necessary and transparent purpose.
9. Customer Content and AI Output
Your content and AI-generated Output remain yours.
As between you and cognipeer, you or the relevant customer organisation retain ownership of Customer Content and Output generated for you through Studio, to the extent ownership can legally exist. cognipeer does not claim ownership of that content or Output.
The Customer Content and Output provisions in the General Terms apply to Studio. You grant cognipeer and its authorised service providers only the limited rights reasonably necessary to provide, secure, support and operate Studio and carry out your instructions.
AI Output may be inaccurate, incomplete, outdated, unsafe or similar to content generated for another user. You are responsible for reviewing and validating Output before relying on, publishing or acting on it.
10. Connected Services and Google APIs
Studio may allow you to sign in with, connect to or use third-party services. You must have authority to connect the relevant account and grant the requested permissions.
When Google Sign-In or another Google API feature is enabled, Studio may receive and use authorised account information or other Google user data only for the user-facing purposes described in the cognipeer Studio Privacy Policy.
cognipeer Studio's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.
Third-party services remain subject to their own terms and policies. A provider may change or discontinue an API, permission, limit or service, and cognipeer may modify or discontinue the related integration as a result.
11. Studio-Specific Acceptable Use
In addition to the General Terms, you must not use Studio to:
- publish an agent or application that unlawfully exposes private, confidential or restricted information;
- connect tools, data sources or systems that you are not authorised to access;
- deploy deceptive, abusive, exploitative or infringing AI experiences;
- conceal legally required notices that an experience uses AI or processes personal information;
- bypass approval, permission, provider or workspace controls;
- configure agents to make high-impact decisions without legally required safeguards and human review; or
- extract Studio software, prompts, interfaces or documentation to build a competing product except where applicable law cannot prohibit it.
12. Plans, Credits and Usage Limits
Studio features may be limited by plan, licence, users, agents, applications, data sources, tools, storage, tokens, credits or other usage measures.
Applicable prices, credit rules, billing periods, renewal terms and limits are shown in the relevant checkout flow, order form or signed agreement. General payment, tax, refund and suspension provisions are set out in the General Terms and any applicable customer agreement.
13. Beta and Preview Features
Studio may include alpha, beta, preview, experimental, early-access or evaluation features. These features may be incomplete, change without notice, contain errors or be discontinued.
Unless expressly authorised in writing, do not rely on beta or experimental features for critical, high-risk or regulated workloads.
14. Restriction and Suspension
In addition to the suspension rights in the General Terms, cognipeer may restrict or disable a specific agent, application, portal, tool, provider, data source or integration where reasonably necessary because it creates a security, legal, provider-policy, privacy or operational risk.
Where reasonably possible and legally permitted, we will provide notice and an opportunity to address the issue. Urgent security, abuse or legal risks may require immediate action.
15. Privacy and Data Protection
The cognipeer Studio Privacy Policy explains how personal information is handled in connection with Studio. A Data Processing Agreement or signed customer agreement may also apply.
You are responsible for using Studio in compliance with applicable privacy, data protection, employment, communications and intellectual property laws and for providing legally required information to the individuals whose data you process.
